You might have heard about the non-disclosure agreement at some point in your life.

The non-disclosure agreement is a confidentiality agreement between two or more parties used to protect the mechanical, technological, intellectual, ideas or actions.

It can pertain to a company, an event, an individual and much much more. However, there are a few things that are important to know about the NDA. Whenever you sign a non-disclosure agreement, you must make sure that you read it properly so that you are not bound by any legal consequences that you are unaware of. You need to fully understand a non-disclosure agreement and the consequences that you will have to bear if anyone violates any of the rules and regulations of the non-disclosure agreement.

What You Should Look For Before Signing An NDA

What is a non-disclosure agreement?

A non-disclosure agreement is a legal document that will bound you to certain rules and regulations, and boundaries to not disclose some of the trade details regarding your company or any other entity you are signing it with. Anyone who is signing a non-disclosure agreement has to follow the obligations that are mentioned in the contract. But besides that, if you are not following the proper regulations of the non-disclosure agreement, you will eventually have to deal with a lawsuit and bigger trouble legally. There are 6 things that you should make sure that you know whenever you are signing a non-disclosure agreement:

Check the language and the clauses.

There will be some clauses that you will not understand in the non-disclosure agreement. It is important that you make sure you are getting the proper legal advice regarding the language and the clauses added in the contract. If you do not properly understand the language of the non-disclosure agreement, you will not be able to protect yourself from any future infringements that may lead to potential litigation in the future. Make sure that you are actually reading the non-disclosure agreement.

Any clauses that are added should include that any publicly available information should be excluded from the non-disclosure agreement. You should also make sure that you are not responsible for the information that the other parties may acquire. If any of the information is revealed by a third-party source, you will not be made accountable for violating the non-disclosure agreement.

Understand the documentation properly.

Check the non-disclosure agreement and make sure that you properly understand your performers in terms of the non-disclosure agreement. You should understand what information you have to keep confidential. You should also make sure that all the prohibited information is exclusively defined to not be disclosed.

Learn about the consequences of breaching the non-disclosure agreement.

You should understand what will be the actual consequences that you will have to deal with if you violate the rules and the applications that you are bound to keep. The one thing is that you should learn about the consequences of the non-disclosure agreement if violated.

What could be the liquid damage?

Basically, you should have to understand what could be the monetary consequences if you violate the non-disclosure agreement. And if there are punitive damages or recovery costs. Also, you should understand what entitles your employer to file a lawsuit against you for violating the non-disclosure agreement.

Negotiate regarding the clauses and the terms.

You should also base your negotiation regarding the clauses and the terms of the non-disclosure agreement. You will have to make sure that you are focusing on understanding what the origins of clauses are based on and what they want from you to keep in terms of confidentiality. The non-disclosure agreements are binding contracts that will ensure that you are not communicating anything regarding confidential information throughout your life of the contract. This makes sure that you are negotiating according to the terms and conditions of your agreement and also making a concerted effort to stay abreast of  what you want to negotiate later. It is better to read your non-disclosure agreement beforehand so that you have all the relevant information that you need to deal with. It is also important that you talk to a professional so that he or she can help you regarding the legal consequences and legal clauses as well. When signing a non-disclosure agreement, you must have some legal support with you. A legal professional can help you out not only when negotiating the agreement but also keeping you abreast telling you of whether or not signing the non-disclosure agreement it is a good decision.

Do not go beyond your gut feeling.

You must make sure that you are not going against your gut feeling. If you do not feel that the non-disclosure agreement is appropriate for you to sign, it can be a bigger loss. In which case, you probably shouldn’t sign the non-disclosure agreement. Make sure that you are focusing on your gut feeling and understanding what the other parties or any other entity wants from you regarding signing the non-disclosure agreement. There has to be some background to signing the non-disclosure agreement. If the information is really valuable to the company, it is better to protect it. But if it is the kind of information that can be harmful to other people, it is better to not sign a non-disclosure agreement and get yourself in trouble. As long as you are not bound with a legal commitment, you are free to do what you want. Just follow your gut feeling and do not make a wrong decision.

These are the six things that you should know regarding the non-disclosure agreement. Whenever you come across the non-disclosure agreement, you will have to make sure that you keep your eye on the clauses and potentially difficult legal language. If there is a ground for negotiation, it is always better to negotiate with the help of an attorney. Hire a legal professional to help you out regarding the terms and conditions that you need to understand that are associated with the non-disclosure agreement. Always take the opinion of experienced and professional people to ensure that you don’t end up in a situation that can be messy and costly.

What is Marketing in Business

What is Marketing in Business?

What is Marketing in Business

I was sitting in a meeting with the VP of Marketing & Communications of a Retirement Home, years ago in a town called Pasadena. Pasadena, the City of Roses, is known for its New Year’s Rose Bowl Parade and Rose Bowl Game, located northeast of Los Angeles. It is a perfect town to retire to.

The gentleman heard about My Unbounded and wanted to see what digital marketing services may benefit his team. When I heard he had a marketing team, I was a little confused about his question…

“What is Digital Marketing?”

The company had a website, it was a little old fashion, but it got the job done. They had instagram and other social media, that was not doing well. In my mind, if you have a marketing team, then you will have someone that focuses on digital marketing. I explained, “we create digital footprints for companies to be found online”.

“Well how are you getting new clients?” I asked him.

“Referrals”, he replied.

“From the website?”

“Occasionally, but my Marketers go to the field…”

“Oh”, I replied.

It is important that I tell you that this was in 2018. When handshakes ended business deals and we could see everyone’s faces. Going to the field meant that he was doing more business to business marketing, which is interesting since the parent’s of the retired individuals are usually the final decision makers.

The reason why I replied with “oh”, is because I figured out the mindset of the company and what marketing in business meant to them.

It was basically a refurbished word for “sales people” since no one likes to use the word “sales”. Another reason why I said “oh”, is because I quickly calculated the amount of money they were wasting and leaving on the table.

Marketing in business is really the way you attract/reach out and make connections to prospects, customers, investors, the community, etc. If you held the sign to your high school car wash in 10th grade, then according to the definition of this company, you were a Marketer. Is that marketing to you?

Fast forward to 2020 I was sitting in another meeting in Los Angeles, doing a pitch and the word “marketers” came up again. Different company, same definition of what marketing is in business. Basically what these companies are doing is getting traditional referrals and sending out their team to close the deal. It is the traditional way of getting business. It does work, but it can waste resources. Also, after 2020 do you really want to count on face to face meetings anymore?

The first company should have had a digital marketing team that worked closely with the web developer to create content that would bring the appropriate traffic to the website with several ways for prospects to reach them. They should have had the digital marketer do media buying and purchasing. They needed PR and also, inbound marketing. This is what marketing is in 2021. Websites are no longer an option. It is the most consistent way you will be found in these days and times.

After you read this article, I want you to think of what marketing means to you. It is the person that knocks on your door and asks if you need landscaping services, the billboard of the retired football player that is now a personal injury lawyer or is it the new restaurant that you “found” online? “Found” because hardly anything is found online not on purpose.

Marketing is the avenue/path of the reach. It is not sales. It is not advertising. Although, they do all go hand-in-hand.

Marketing covers a lot of avenues. Here are a couple more articles that are helpful.

How to run a successful instagram giveaway that won't waste money

How to Run a Successful Instagram Giveaway that Won’t Waste Money

How to run a successful instagram giveaway that won't waste money

If you follow the Digital Magazine‘s Instagram you will see that we run giveaways quite often.

Our first giveaway, we might have received 25 followers and spent $50.00

Not a good ROI.

With less than 1000 following (It might have been slightly more), our reach was too small.

We had to re-evaluate or tactics on how to run a successful instagram giveaway that wouldn’t waste money.

This is what we have discovered:

1. If you are starting off or planning your first Giveaway do not do it by yourself.

Do it with another account that has around the same amount of followers OR reach out to a slightly larger account and offer an incentive. Maybe they can just pay for shipping or even join the Instagram giveaway for free.

2. Have a budget and stick with it.

You have to know what you need for your ROI to be. That is how you can measure your giveaway’s success. One of our most successful giveaway was with a $10.00 product with 50-80 new followers.

3. Take really amazing pictures of the product(s).

Your visuals can enhance or take away from your giveaway. It could be a great giveaway, but if the visuals are not amazing, then you just lowered the success of your giveaway.

4. Make time to engage with your followers and their followers to extend your reach.

This is vital! If you do not have the time, do not do a giveaway. You can’t just upload it and then walk away. You need to make sure that your account is being seen.

5. Ask others to post it to their stories.

Make sure the accounts that you ask have high engagement. This is where instagram groups come in handy!

6. Repost to remind everyone about your giveaway.

I like to repost at least 3 times. Also, you may have some procrastinators. Remind them that they only have a certain amount of time to enter the instagram giveaway.

Top apps to help you plan your social media

Top Apps That Will Help You Plan Your Social Media

Top apps to help you plan your social media

Social Media can be very time consuming if you do not plan ahead. Planning captions and media on the spot can lead to poor engagement, and posts that do not connect to your business.  Here are a couple of apps that will help you plan your social media.

1. Hootsuite is a boutique agency’s dream since they offer a pretty extensive free version.

If you are a blogger, the free version might fit all of your needs. It does not handle Pinterest. There is a desktop version, which makes it easier if you are planning for multiple social media platforms.

2. Facebook Scheduler

It comes with Facebook and is really great. There are so much free analytics. It’s almost like Facebook wants you to only use their scheduler. Too bad it doesn’t integrate with Instagram.

3. Tailwind

Step up your Pinterest game with Tailwind. You can also use it for Instagram. There is a desktop version.

It can get very pricey for agencies.

4. Preview

This one comes with hashtag suggestions for Instagram, which is cool, but you still need to check to see if the hashtags are strong. The free version allows you to plan and organize your ig, but you still have to manually post.

It can get pricey if you have more than 1 handle.

5. Planoly

This one is very organized, and is cheaper than Preview, if you have more than 1 account to manage. It organizes the hashtags pretty well.

Here’s a tip:

If you are on a budget, you can download several free apps and use them for your different accounts.

Why should I create unique content for each social media platform

Why Should I Create Unique Content For Each Social Media Platform?

Why should I create unique content for each social media platform

Different demographics are on different social platforms which is why you should create unique content for each social media platform.

You wouldn’t speak to your aunt the same way you would speak to your cousin, right?

It’s really that simple.

Also, if you post the same thing across all channels, you will turn off followers from following you across all of your social media.

How do I create unique content for each social media platform?

Know your demographics and rearrange your content to cater to that specific demographic and the social media platform.

You can still have a consistent message, but just do not copy and paste your message.

Change up your graphics, i.e. Facebook does not like text on graphics while Pinterest does.

Get to know your audience. If starting from scratch, it might take you a couple of months to figure this out. Utilize and analyze all of your analytics.

Did you post something with text on instagram and did it do well, or did a picture with a catchy caption do better?

Figure out what you can do with the social media platforms that you utilize, their rules and algorithms. For example, you can post multiple pictures on one Instagram post allowing you to create a visual story where as twitter is more about words.

Figuring out your demographics and the rules of the social media platform is key to creating unique content for each social media platform that you are on.

Good luck and Happy Posting!

I have a website now what?

“I have a Website, Now What?”

I have a website now what?

This is a question that we get quite often from Business and Bloggers- I have a website now what? When will the the customers began rolling in?

Think of your website as your digital storefront. If you had a brick and mortar, would you open your doors and expect customers to come?

No, you would probably send out flyers, put your sign up to make sure you attract customers and maybe put your company in a directory.

You must treat your website in the same manner.

Great SEO, Online Ads, Social Media Presence and Great Content are the keys to have a great online presence.

SEO is how search engines navigate to your website.

Online Ads, on search engines like Google and social media sites like Instagram (depending on your demographics), will help broaden your reach.

Having a social media presence will keep your audience engaged and is an easy way to get promotions or business news to your customers. It is also a great way to get clicks to your website.

Great Content (blogs, visuals) is the way to keep your customers coming back.

There are other ways, like reviews…to intrigue new customers (or clients).

Creating a mail list from your website or social media is also a powerful way to constantly keep in touch and create new customers.

What webpages should you have on your website?

What pages should you have on your website?

Your website is your virtual storefront. It is very important to impress your viewers and to turn your “viewers” into clients or customers. Here are the main pages that you should have on your website.

Home Page-

The Home Page is the Summary of your Website.

Your audience should be able to immediately tell what your business is about and what service(s) your business offers.

The About page is the section to where you explain about your brand and what makes you stand out from the rest. You should add your story and Vision.

Service Page or Product Page-

If you offer services have a service page that explains your services. If you offer more than one service, you might want to have multiple service pages.

Place frequently asked questions to make it easier for your viewer to find their question and remove any indemendations from contacting you.

You can embed Yelp Testimonials and also add some of your own. You are basically establishing credibility.

A great contact page with a contact box and your social media links. Some companies want to use a contact box vs. an e-mail address.

A place to place information that your company has created. It keeps your website fresh and updated. It also provides additional information for your viewer.

What is local SEO and do you need it?

What is local SEO and do you need it?

Local SEO is SEO (search engine optimization) that helps your audience find you locally in search engines.

It is written in your website (if your website is complete with SEO) and it is also written on other profiles like yelp, google, facebook, etc.

If you are using google as your search engine, their local section will always show up first. If you have a business that services areas, then this is extremely important.

If you have a online business that services multiple locations, you can concentrate your local seo in several areas.

One of the great things about having a profile on social media is the local seo ranking.

Let’s say you have a restaurant in Providence, Rhode Island. If you google “top restaurants in Providence, Rhode Island, your restaurant may not show up on the organic search portion of the Google Page (since it is competitive), but where it can show up easier, is on Yelp. Yelp is usually in the top 3 results on a search engine, where most consumers will click. This gives you an advantage that you wouldn’t be able to have if you are not on yelp (etc).

The answer is Yes. Every business that is trying to attract local customers should have local seo.

Even if your business it virtual, you can still target a certain area (usually the area that you are located in).
